Welcome to NexPhaz. These Terms & Conditions ("Terms") govern your use of the NexPhaz platform, website, and services (collectively, the "Service") operated by NexPhaz LLC ("NexPhaz", "we", "us", or "our"). By accessing or using the Service — including by requesting a free demo — you agree to be bound by these Terms.

1. The Free Demo Service

The free demo is a no-cost preview of NexPhaz's AI-powered marketing platform. By submitting your information through our demo request form, you authorize NexPhaz to:

Use the business and personal information you provide to generate a personalized marketing video and image preview;
Deliver that demo content to you via SMS and/or email;
Store the information you submit in our customer relationship management (CRM) system;
Contact you regarding the demo, related offers, and the NexPhaz platform.

2. Communications & Consent

By providing your phone number and email address through the Service, you expressly consent to receive recurring informational and promotional communications from NexPhaz, including but not limited to:

Verification messages required to activate your demo;
Delivery of your demo video and related content;
Educational content, special offers, product updates, and follow-up messages from NexPhaz and its automated systems, sent by SMS, MMS, email, and/or telephone;
Customer support and service-related notifications.

Message and data rates may apply. Message frequency varies. You can opt out of SMS communications at any time by replying STOP to any text message; you can unsubscribe from email by clicking the unsubscribe link at the bottom of any email or by contacting contact@nexphaz.com. Even after opting out of marketing communications, you may receive transactional messages strictly necessary to deliver a service you requested.

3. Eligibility

To use the Service, you must be at least 18 years old and have the legal authority to bind the business you represent. The free demo is limited to one demo per business, one per email address, and one per phone number.

4. Accuracy of Information

You agree to provide accurate, current, and complete information when using the Service. NexPhaz reserves the right to refuse, suspend, or terminate access if information is found to be inaccurate, fraudulent, abusive, or used in violation of these Terms.

5. AI-Generated Content

The demo videos and images delivered through this Service are generated using artificial intelligence. NexPhaz makes no representation that AI-generated content will be free of errors, accurate, or suitable for any particular purpose. You are responsible for reviewing AI-generated content before using or publishing it. AI-generated likenesses, voices, or representations should not be presented as authentic recordings of real persons.

6. Intellectual Property

You retain ownership of your business name, logos, and any content you provide. NexPhaz retains ownership of the Service, including its underlying technology, trademarks, and branding. The demo content delivered to you is licensed for your personal and commercial use related to your business; you may not resell or sublicense the underlying technology.

7. Acceptable Use

You agree not to:

Submit false, misleading, or third-party information without authorization;
Use the Service in violation of any applicable law (including telemarketing, anti-spam, and consumer-protection laws);
Attempt to circumvent the one-demo-per-business limit through automated submissions, multiple identities, or technical workarounds;
Interfere with the Service's operation, including by attempting to access unauthorized data, accounts, or systems.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, either express or implied. NexPhaz disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. NexPhaz does not guarantee that the Service or any content delivered through it will produce specific business results.

9. Limitation of Liability

To the maximum extent permitted by law, NexPhaz, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service. NexPhaz's total aggregate liability shall not exceed the greater of one hundred US dollars ($100) or the amount you paid NexPhaz in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless NexPhaz from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications

We may update these Terms from time to time. The "Last updated" date at the top reflects the latest revision. Continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to NexPhaz, its customers, or third parties.

13. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
